01 Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Global IT Solutions ("Company," "we," "our," or "us") governing your use of our website at globalitsolutions.org and any services we provide.
By using our website or engaging our services, you confirm that you are at least 18 years of age and have the legal authority to enter into this agreement.
02 Services
Global IT Solutions provides the following IT services:
- Custom Website Development
- Software Development (CRM, ERP, custom applications)
- Graphic & UI/UX Design
- E-Commerce Development
- Search Engine Optimization (SEO)
- Website Maintenance & Support
- Business Process Automation
The scope, deliverables, and timeline of each project are defined in a separate Statement of Work (SOW) or Project Agreement signed by both parties.
03 Payment Terms
Payments are governed by the terms outlined in your project agreement. Generally:
- A non-refundable deposit (typically 40%) is required before project commencement
- Milestone payments are due upon completion of defined project phases
- Final payment is due prior to project delivery and launch
- All invoices are payable within 7 days of issue unless otherwise agreed
- Late payments may incur a 1.5% monthly interest charge
We reserve the right to suspend or terminate services for non-payment.
04 Intellectual Property
Upon receipt of full payment, all custom-developed code, designs, and deliverables created specifically for your project become your property. We retain the right to:
- Display completed projects in our portfolio with your permission
- Use general methodologies and code frameworks for other clients
- Retain ownership of any proprietary tools, plugins, or pre-built components used in delivery
Third-party assets (fonts, stock imagery, licensed plugins) remain subject to their respective licenses.
05 Client Responsibilities
To ensure successful project delivery, clients are responsible for:
- Providing accurate and complete project requirements in a timely manner
- Supplying necessary content (text, images, branding materials) by agreed deadlines
- Providing timely feedback and approvals within defined review periods
- Ensuring that any provided materials do not infringe third-party intellectual property rights
- Maintaining access credentials for third-party services required for the project
06 Revisions & Change Requests
Each project includes a defined number of revision rounds as specified in your project agreement. Requests outside the agreed scope will be treated as change orders, subject to additional time and cost estimates requiring written approval before implementation.
07 Limitation of Liability
To the maximum extent permitted by applicable law, Global IT Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost data, or business interruption, arising from your use of our services.
Our total liability for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you in the three (3) months preceding the claim.
08 Confidentiality
Both parties agree to maintain the confidentiality of proprietary business information shared during the engagement. We will not disclose your confidential business information to third parties without your written consent, except as required by law or as necessary to deliver agreed services.
09 Termination
Either party may terminate the service agreement with 14 days' written notice. Upon termination:
- All outstanding invoices become immediately due and payable
- Work completed up to the termination date will be delivered upon receipt of payment
- Non-refundable deposits will not be returned
- Both parties remain bound by confidentiality obligations
10 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising from these Terms or related services shall be resolved through good-faith negotiation, followed by binding arbitration if necessary.
11 Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify active clients of material changes via email. Your continued use of our services after the effective date of changes constitutes acceptance of the updated Terms.
